These Terms and Conditions (the “Terms”) govern your access to and use of ERCBenefits.com and any related pages, forms, and content (collectively, the “Site”), which is operated by ERC Benefits, LLC, a Florida limited liability company (“ERC Benefits,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

1. Eligibility

The Site is intended for use by individuals who are at least 18 years of age and who are acting on their own behalf or on behalf of a business they are authorized to represent. By using the Site, you represent that you meet these requirements and that any information you submit is accurate and complete.

2. Changes to These Terms

We may modify these Terms at any time. Revised Terms take effect when posted to the Site, and we will update the “Last Updated” date above. Your continued use of the Site after revised Terms are posted constitutes your acceptance of them. If you do not agree to the revised Terms, stop using the Site.

3. Description of the Site and Services

The Site provides general information about the Employee Retention Credit (“ERC”) and other tax credit programs, group health insurance, and employer benefit programs, and allows you to request information, quotes, and consultations. Availability of any program, product, plan, or credit is subject to eligibility requirements, underwriting, carrier approval, program terms, and applicable federal and state law, and may change or be discontinued at any time without notice.

4. No Tax, Legal, Accounting, or Professional Advice

All content on the Site is provided for general informational purposes only. Nothing on the Site constitutes tax, legal, accounting, financial, or other professional advice, and nothing on the Site creates an accountant-client, attorney-client, or fiduciary relationship between you and ERC Benefits.

Tax credit programs, including the ERC, are governed by federal statutes, IRS guidance, and administrative procedures that are complex and subject to change, including retroactive change. You should consult your own certified public accountant, tax advisor, or attorney regarding your specific circumstances before taking any action. You are solely responsible for the positions taken on your tax filings and for the accuracy of the information you submit to any taxing authority.

5. No Guarantee of Eligibility, Approval, Amount, or Timing

ERC Benefits does not guarantee that you or your business will qualify for any tax credit, refund, insurance product, or benefit program, and does not guarantee the amount of any credit or refund, the timing of any payment, or the outcome of any application, claim, audit, or examination. Any estimates, calculators, savings figures, or examples presented on the Site are illustrative only, are based on assumptions that may not apply to you, and do not constitute a representation, warranty, or promise of any particular result. Determinations regarding eligibility and refund amounts are made solely by the Internal Revenue Service or other applicable authority, and by the applicable insurance carrier or plan administrator in the case of insurance and benefit programs.

6. Insurance Disclosures

Insurance products referenced on the Site are offered through licensed insurance agents and are underwritten and issued by the applicable insurance carrier. Products, plan designs, rates, and availability vary by state and are not available in all states. Any description of coverage on the Site is a summary only. The actual terms, conditions, exclusions, limitations, and benefits of any policy or program are governed solely by the policy, certificate, plan document, or program agreement issued by the carrier or administrator, which controls in the event of any conflict with the Site.

No coverage is bound, changed, or terminated by submitting a form, sending an email or text message, or leaving a voicemail. Coverage is effective only when confirmed in writing by the applicable carrier or administrator.

7. Information You Submit

You agree to provide accurate, current, and complete information and to update it as needed. You represent that you are authorized to submit any information you provide about a business, its employees, or its payroll. We are entitled to rely on the information you provide, and we are not responsible for any consequence resulting from information that is inaccurate, incomplete, or submitted without proper authority.

8. Communications Consent

By providing your telephone number or email address, you consent to be contacted by ERC Benefits and its authorized agents by telephone, prerecorded or artificial voice message, autodialed call, text message, and email, including for marketing purposes. Consent is not a condition of purchase. Message and data rates may apply, and message frequency varies. Reply STOP to opt out of text messages or HELP for assistance, and use the unsubscribe link in any marketing email to opt out of marketing email. See our Privacy Policy for further detail.

9. Acceptable Use

You agree not to:

  • Use the Site for any unlawful, fraudulent, or unauthorized purpose
  • Submit false, misleading, or fraudulent information, or impersonate any person or entity
  • Interfere with or disrupt the Site, its servers, or its networks, or attempt to gain unauthorized access to any portion of the Site
  • Introduce viruses, malware, or other harmful code
  • Use any robot, spider, scraper, or other automated means to access or copy the Site or harvest information from it
  • Reproduce, republish, distribute, sell, or create derivative works from Site content without our prior written permission
  • Use the Site in any manner that could damage, disable, overburden, or impair it, or infringe the rights of any third party

10. Intellectual Property

The Site and its contents, including text, graphics, logos, images, layouts, and software, are owned by ERC Benefits or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. “ERC Benefits” and associated logos are marks of ERC Benefits, LLC. Other names and marks appearing on the Site are the property of their respective owners and are used for identification purposes only. Except as expressly permitted, no license or right is granted to you in any of the foregoing.

You may view, download, and print pages of the Site for your own internal, non-commercial reference, provided you do not remove any copyright or proprietary notice.

11. Third-Party Links and Content

The Site may contain links to, or content from, third-party websites, quoting engines, enrollment platforms, and services. Those links and materials are provided for convenience only. We do not control, endorse, or assume responsibility for third-party sites or their content, products, services, security, or privacy practices. Your dealings with any third party are solely between you and that third party.

12. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ERC BENEFITS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENCY OF ANY CONTENT ON THE SITE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ERC BENEFITS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, TAX BENEFITS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless ERC Benefits, LLC and its members, managers, officers, employees, agents, and affiliates from and against any claims, demands, actions, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your violation of these Terms, your violation of any law or the rights of any third party, or the inaccuracy of any information you submit.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Florida, without regard to its conflict of laws principles. You agree that the exclusive venue for any action shall be the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens.

16. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer or Commercial Arbitration Rules, as applicable, before a single arbitrator seated in Palm Beach County, Florida. Judgment on the award may be entered in any court of competent jurisdiction. Each party waives any right to a jury trial and to participate in a class, collective, or representative action. Either party may bring an individual claim in small claims court.

17. Termination and Suspension

We may modify, suspend, or discontinue the Site or any part of it, and may restrict or terminate your access to the Site, at any time and without notice or liability. Sections that by their nature should survive termination, including Sections 4, 5, 10, 12, 13, 14, 15, and 18, will survive.

18. General Provisions

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and ERC Benefits regarding the Site and supersede any prior understandings regarding its subject matter.
  • Severability. If any provision is held unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them without restriction.
  • Headings. Headings are for convenience only and do not affect interpretation.
  • Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
